Terms and Conditions

These Terms and Conditions are governed by the laws of the United Arab Emirates, including the UAE Federal Law No. 1 of 2006 on Electronic Commerce and Transactions, the UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services, UAE Consumer Protection Law (Federal Law No. 15 of 2020), and applicable Dubai regulations. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Parties

These Terms and Conditions constitute a legally binding agreement between Al Wafaa Group (the "Company", "we", "us") — a business established and operating in Dubai, UAE, with offices at Mezzanine Floor, Attrium Building, 28th Street, Abu Hail, Deira, Dubai — and you (the "Client", "User", "you"), being any individual or entity accessing our website or purchasing our services.

2. Services

Al Wafaa Group provides the following services:

  • Website design, development, and maintenance
  • Digital marketing, SEO, AEO, and GEO services
  • Google Ads, Meta Ads, and paid media management
  • Social media marketing and content creation
  • Mobile application development (iOS and Android)
  • Custom software, ERP, and CRM development
  • WhatsApp automation and chatbot solutions
  • Cloud hosting, managed servers, and email hosting
  • AI consulting and automation solutions
  • IT consulting and digital transformation advisory

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work (SOW) provided to the Client prior to commencement of work.

3. Engagement and Acceptance

A binding contract between Al Wafaa Group and the Client is formed when: (a) the Client signs a Service Agreement or SOW, or (b) the Client makes a payment for services, or (c) the Client provides written approval (including via email or WhatsApp) to proceed with a quoted scope of work. These Terms and Conditions are incorporated by reference into all such agreements.

4. Payment Terms

  • Unless otherwise stated in the Service Agreement, a 50% advance payment is required before commencement of any project
  • The remaining balance is due upon project completion or as per the milestone schedule in the SOW
  • Monthly retainer services are billed in advance at the beginning of each month
  • Invoices are payable within 7 calendar days of issuance unless otherwise agreed
  • Payments can be made via bank transfer, cheque, or approved payment gateway
  • All prices are in UAE Dirhams (AED) and are exclusive of VAT unless stated otherwise
  • Al Wafaa Group complies with UAE VAT Law (Federal Decree-Law No. 8 of 2017). VAT at the applicable rate will be added to all invoices where applicable
  • Late payments beyond 14 days may incur a late payment charge of 2% per month on the outstanding balance
  • Al Wafaa Group reserves the right to suspend services for accounts with overdue balances exceeding 14 days

5. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information, materials, and approvals required for project delivery
  • Ensure all content, images, logos, and materials provided to Al Wafaa Group are legally owned or licensed by the Client
  • Designate a primary point of contact for project communication
  • Review and approve deliverables within agreed timelines (delays in approval may impact project delivery dates)
  • Not use Al Wafaa Group services for any unlawful purpose or in violation of UAE law
  • Maintain confidentiality of any login credentials, access keys, or system access provided by Al Wafaa Group

6. Intellectual Property

Upon receipt of full payment for a project, Al Wafaa Group assigns to the Client all intellectual property rights in the custom deliverables created specifically for that Client, including website code, design assets, and written content.

The following remain the exclusive property of Al Wafaa Group and are not transferred to the Client:

  • Proprietary frameworks, tools, methodologies, and software libraries developed by Al Wafaa Group
  • Third-party software, plugins, themes, and licensed assets incorporated into deliverables (subject to their respective licenses)
  • Pre-existing intellectual property of Al Wafaa Group

Al Wafaa Group retains the right to display completed work in its portfolio and marketing materials unless the Client requests confidentiality in writing.

7. Confidentiality

Both parties agree to maintain confidentiality of all proprietary, technical, financial, and business information disclosed during the engagement. This obligation survives the termination of the agreement for a period of 3 years. Neither party shall disclose confidential information to third parties without prior written consent, except as required by UAE law or regulatory authorities.

8. Cancellation and Termination

  • Either party may terminate the agreement with 30 days written notice
  • Advance payments for work not yet commenced are refundable; work already delivered or in progress is non-refundable
  • Al Wafaa Group reserves the right to terminate immediately if the Client breaches these Terms, fails to pay outstanding invoices, or engages in conduct that violates UAE law
  • Upon termination, the Client must pay for all work completed up to the termination date
  • Al Wafaa Group will return all Client-owned materials and data within 14 days of termination

9. Limitation of Liability

To the maximum extent permitted by UAE law:

  • Al Wafaa Group's total liability for any claim arising from a service engagement shall not exceed the total fees paid by the Client for that specific service in the 3 months preceding the claim
  • Al Wafaa Group shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of profits, loss of data, or loss of business opportunity
  • Al Wafaa Group does not guarantee specific rankings, traffic levels, leads, or revenue outcomes from digital marketing or SEO services, as these depend on market conditions, competition, and platform algorithms beyond our control
  • Al Wafaa Group is not liable for downtime, data loss, or service interruptions caused by third-party platforms, hosting providers, or circumstances beyond our reasonable control (force majeure)

10. Warranties

Al Wafaa Group warrants that services will be delivered with reasonable care and skill in accordance with UAE professional standards. We provide a 30-day warranty on website development projects for bug fixes directly attributable to our work. This warranty does not cover issues arising from Client modifications, third-party plugin updates, or hosting environment changes after project handover.

11. Website Use

By using this website, you agree not to:

  • Use the website for any unlawful purpose or in violation of UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021)
  • Attempt to gain unauthorised access to any part of the website or its servers
  • Transmit any viruses, malware, or harmful code
  • Reproduce, distribute, or commercially exploit website content without written permission
  • Use automated tools to scrape, crawl, or extract data from this website

12. Third-Party Links

Our website may contain links to third-party websites. These links are provided for convenience only. Al Wafaa Group has no control over the content, privacy practices, or terms of third-party websites and accepts no responsibility for them. Accessing third-party websites is at your own risk.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai.

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the Dubai Courts (or the DIFC Courts if both parties agree), which shall have exclusive jurisdiction.

Alternatively, both parties may agree in writing to refer disputes to arbitration under the Dubai International Arbitration Centre (DIAC) rules.

14. Amendments

Al Wafaa Group reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after the effective date constitutes acceptance of the revised Terms.
